Our Corporate Strategy and Development team has helped lead Vonage’s transformation into a global leader in cloud communications, expanding across unified communications, Platform as a Service (CPaaS) and new emerging technologies.
The team plays a critical role in: developing, vetting and constructing Vonage’s short and long-term strategy; driving the strategy planning process; helping to develop the financial underpinnings for this strategy and to drive dynamic decision making to implement or course-correct against these strategies; identifying and evaluating new acquisition opportunities across the cloud communications landscape; executing M&A and undertaking related financial analyses, diligence, deal structuring and counter-party negotiations; and establishing a regular discussion cadence with external banking, growth-equity/VC ecosystem.
The team works with C-level business and functional leaders across the organization as well as investment banking advisors, management consultants and target business management teams to accomplish these objectives.
Why this role matters
Vonage (pending acquisition by Ericsson) is looking for a management consulting, investment banking or private equity analyst or associate to join our Corporate Strategy and Development team and help build out our cloud communications business. T0he role will primarily focus on corporate strategy and also involve supporting M&A.
As a corporate strategist, you will help develop short and long term strategies by reference to dynamics in the cloud communications industry (covering communications and collaboration as-a-service as well as communications platform as a service (CPaaS)), competitive developments and emerging disruptive technology trends. In doing so, the role requires developing powerpoint-type presentations and excel analyses explaining and supporting such strategies and apprising senior management as well as board of directors.
In addition, you will focus on supporting various M&A undertakings (including opportunity tracking, forecast modeling, valuation, deal execution and financing. As such, the role will involve working on traditional US and cross-border cloud technology / telecom acquisitions, divestitures and mergers and include: diligence on potential acquisition opportunities, vetting their financials and building forecast models, undertaking valuation and pro forma merger analyses and coordinating with investment bankers on execution.

What you will do
Strategy Development and Implementation
Help set up and coordinate internal strategy planning sessions as part of our annual strategy planning process, including development of materials (PowerPoint) to facilitate these sessions
Independently attend senior management briefings on business performance and forge alliances with function (eg, product, engineering, sales, finance) teams for the purpose of tracking business/sub-segment performance against strategy and related financial goals
Work with product, engineering and sales teams in conjunction with finance to operationalize strategy and implement in year initiatives
Establish relationships with select industry / management consultants to gain 3rd party perspectives on our business, performance, emerging trends/threats
Leverage strategy planning work, active business engagement and 3rd party analyses to help develop iterative management and final board presentations on annual strategy; then work closely with internal communications team to cascade strategy across company
Help frame issues and decide on strategic initiatives through financial modeling (eg, identifying highest ROE areas for investment, financial effects of key strategic initiatives etc); work with our business intelligence and finance teams to develop and vet data and analysis to identify strategic issues and/or support strategic decisions
Help drive agenda for monthly executive Leadership meetings and coordinate with functional teams (sales, product, marketing) to drive development of presentations summarizing business performance trends and initiative
Business / Financial Analysis
Build business cases / financial analysis to support strategy and identified initiatives, by coordinating with FP&A and business intelligence teams
Help synthesize analysis, findings and recommendations into executive powerpoint style presentations with appropriate supporting analyses
Management and Board Presentations
Help synthesize analysis, findings and recommendations into executive powerpoint style presentations with appropriate financial supporting analyses
Industry Reconnaissance; Evaluation of Emerging Trends
Track and analyze trends in cloud communications and adjacent sectors such as mobile, software / technology, etc., including technology developments, market-leading research, and peer strategic activities and performance as well as industry relevant activities
Track, screen and respond to inbound acquisition opportunities; undertake next level screening diligence and bring in other senior executives as relevant
M&A Analysis, Valuation & Execution
Build and drive financial analysis and valuation models for various situations, including acquisitions, strategic investments, and disposition of assets
Help probe on M&A diligence and financial analyses through self-built (bespoke), tailored analytic constructs and modeling
Develop, analyze and vet traditional financial and valuation analyses including discounted cash flows, build vs. buy analysis, accretion / dilution analysis, multiples based valuation, present value of cash flows, leveraged buy-out analysis, premiums paid analysis, offensive / defensive value analysis, and cross-sell growth opportunities analysis
Help develop presentation materials for ad-hoc analysis on special situations such as strategic actions of competitors, execution of financings, and approval for critical steps in active M&A processes

What is required for application
3-5 years work experience in management consulting, corporate strategy / finance, M&A, private equity or investment banking
Strong presentation development skills; high proficiency in Powerpoint and Word
Complex problem-solving skills; innovative with ability to create differentiated analysis based on the situation
Strong analytical and financial modeling skills; proficiency in Excel
Familiarity in reading financial statements and understanding basic accounting principles
Background in technology, cloud and/or communications
